Platform Terms of Service

These Pay3 Platform Terms supplement and form part of your API Usage Agreement with Pay3 Limited (“Pay3”) for card issuing and program management. By integrating and using the Pay3 API and related services, you (“Partner”) agree to these terms.

1. Service Overview

  • Pay3 provides API infrastructure and documentation enabling Partners to issue, manage, and support Pay3 cards directly from their platform.
  • Only business (not consumer) Partners may use the API in accordance with these terms.
  • Pay3 reserves the right to update API features, documentation, or terms with reasonable notice.

2. Partner Obligations

  • Register for a Pay3 Platform Partner account, provide accurate information, and notify Pay3 of material changes (ownership, business model, operations, etc.).
  • Only authorized personnel may access or operate the Pay3 API. Keep API keys secure and confidential.
  • Integrate the Pay3 API per documentation and technical requirements. Promptly update integrations as required for security, compliance, or product changes.

3. Compliance and Documentation

  • Partner is responsible for all applicable KYC/AML/CTF obligations related to its platform users.
  • Comply with all local laws, payment network rules, regulatory requirements, and Pay3 platform policies.
  • Submit the user onboarding flow and customer-facing disclosures to Pay3 for approval before launch and when updated.
  • Maintain accurate records of all transactions, user agreements, and compliance documentation, with access provided to Pay3 upon reasonable request.

4. Financial Terms and Fees

  • Pay3’s API usage and card issuing services are subject to fees as listed in your API Usage Agreement or Pricing Schedule.
  • Partner must maintain sufficient funding for card issuance, settlements, and any transaction-based fees.
  • Late or missing payments may result in API suspension or termination.

5. Data Security and Privacy

  • Maintain a robust data security framework, including encryption and protection of user data and API credentials.
  • Notify Pay3 promptly (within 48 hours) of any data breach or incident relating to the Partner’s platform or API usage.
  • Comply with Pay3’s Privacy Policy and data protection requirements as set out in Schedule 3.

6. Support and Service Reliability

  • Pay3 provides general support to assist partners with API integration, troubleshooting, and platform usage.
  • Partners are responsible for first-line customer support for their users/cardholders.
  • Pay3 will reasonably endeavor to maintain uptime and performance in line with industry standards.

7. Losses, Liability, and Indemnity

  • Partner is financially responsible for losses resulting from fraud, chargebacks, unauthorized transactions, or regulatory breaches relating to its own platform or end users.
  • Pay3 may invoice such losses and require payment within the period specified in your main agreement.
  • Each party indemnifies the other for breaches of law, fraud, or willful misconduct associated with API usage.

8. Termination and Suspension

  • Pay3 reserves the right to suspend or terminate API access for violation of these terms, non-payment, suspected fraud, or regulatory risk.
  • Upon termination, Partner must immediately cease use of the API and delete Pay3 data and credentials as directed.
  • Both parties will cooperate in a smooth wind-down as specified in the main agreement.

9. Intellectual Property

  • Pay3 retains all rights to its API, technology, and trademarks.
  • Partner receives a limited, non-exclusive license to use Pay3’s API and branding only as permitted in its agreement.
  • No reverse engineering or unauthorized reproduction is permitted.

10. Acceptance and Updates

  • By accessing or using the API, Partner agrees to these Platform Terms and acknowledges that Pay3 may update these terms from time to time by posting the revised version on its website or notifying Partners directly.
  • Continued API usage after changes constitutes acceptance.
